Delays caused by missing information or approvals may impact delivery timelines and Nextric Digitals shall not be held responsible for such delays.

4. Payments and Fees

• All fees are agreed upon prior to the start of any project
• Payments must be made according to the agreed schedule
• Late payments may result in paused services or additional charges
• All fees are non-refundable unless stated otherwise in writing

5. Intellectual Property

Unless otherwise agreed in writing:

• All original content, designs, and materials created by Nextric Digitals remain our intellectual property until full payment is received
• Upon full payment, ownership or usage rights are transferred as specified in the project agreement
• Nextric Digitals reserves the right to showcase completed work in its portfolio and marketing materials, unless the client requests confidentiality in writing.

6. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the project. This obligation shall remain in effect unless disclosure is required by applicable law or with prior written consent from the disclosing party.

7. Third-Party Tools & Services

Nextric Digitals may use third-party tools, platforms, or services to deliver its solutions. We are not responsible for outages, changes, data loss, or limitations caused by third-party providers. Clients are encouraged to review the terms and privacy policies of any third-party tools used in their projects.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Nextric Digitals shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services
• We do not guarantee specific business results, search engine rankings, traffic volumes, or revenue outcomes
• Our total cumulative liability to any client shall not exceed the total fees paid by that client in the three (3) months preceding the claim

Some jurisdictions do not allow certain limitations of liability. In such cases, the above limitations shall apply to the fullest extent permitted by law.

9. Termination

Either party may terminate a service engagement by providing written notice. Nextric Digitals reserves the right to immediately suspend or terminate services if a client:

• Breaches any provision of these Terms of Service
• Fails to make payments as agreed
• Engages in abusive, fraudulent, or unlawful behaviour

Upon termination, any outstanding fees for work completed up to the termination date remain payable.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the parties may escalate to mediation before pursuing formal legal proceedings.

12. Changes to Terms

Nextric Digitals reserves the right to update or modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services following any update constitutes your acceptance of the revised terms. We encourage clients to review this page periodically.

13. Entire Agreement

These Terms of Service, together with any signed project agreement or proposal, constitute the entire agreement between Nextric Digitals and the client with respect to the subject matter herein, and supersede all prior discussions, representations, or agreements.
